TERMS OF SERVICE

  1. Introduction and Acceptance of Terms

These Terms of Service (“Terms”) constitute a binding legal agreement between you (“User,” “you,” or “your”) and NETponents LLC (“Company,” “we,” “us,” or “our”), a limited liability company organized under the laws of the State of Michigan.

By accessing, registering for, or using our SaaS platform (operating as “RockyDJ”), creating “Pipelines,” or utilizing our API and “Ticket” generation services (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

  1. Eligibility and Geographic Restriction

The Services are currently intended solely for individuals and entities located within the United States. By using the Services, you represent and warrant that you are a legal resident of the United States and are at least 18 years of age (or the age of majority in your jurisdiction). Access to the Services from outside the United States is prohibited.

  1. Account Registration and Security

To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process.

You are responsible for safeguarding your password and API credentials. You agree to notify us immediately of any unauthorized use of your account. NETponents LLC is not liable for any loss or damage arising from your failure to protect your credentials.

  1. Description of Services, “Pipelines,” and Early Access

4.1 The Platform

Our Services allow users to construct rules-based audio generation workflows (“Pipelines”). Once activated, these Pipelines can be accessed via a requested HTTP GET URL (“Ticket”).

4.2 Ticket Usage

You acknowledge that you are responsible for the distribution and programming of Tickets. While NETponents LLC hosts and executes the logic defined in your Pipeline, you are the controller of the request initiated by the Ticket.

4.3 Service Quality and Throttling

We reserve the right to throttle, limit, or suspend your access to the Services (including specific Pipelines or Tickets) if your usage:

Significantly exceeds average usage patterns;

Negatively impacts the service quality or availability for other users;

Presents a security threat to our systems; or

Is deemed abusive by our technical operations team.

4.4 Early Access Programs

From time to time, we may designate certain features or the entire Service as “Beta,” “Alpha,” or “Early Access.” You acknowledge that these features are experimental, may contain bugs, errors, or defects, and may be subject to significant changes or removal without notice. You agree that NETponents LLC is not liable for any issues, data loss, or service interruptions arising from the use of Early Access features.

  1. Billing, Payment, and Refunds

5.1 Self-Service Subscriptions

For standard accounts, fees are billed on a subscription basis. You authorize us to bill your payment method on file via our third-party payment processor, Stripe.

5.2 Refund Policy (Standard Subscriptions)

You may cancel your subscription at any time. If you choose to cancel your subscription, we will issue a prorated refund to your original payment method. This refund will be calculated based on the unused portion of your subscription term (the number of days remaining in your current billing cycle). Effect of Cancellation: Because you will be refunded for the remaining time, your access to subscription-based Services will terminate immediately upon the processing of your cancellation.

5.3 Enterprise Contracts

For enterprise accounts utilizing usage-based billing, fees, payment terms, and refund eligibility are governed by the specific Service Order or Master Services Agreement signed by you and our sales team. In the event of a conflict between these Terms and a signed Enterprise contract, the Enterprise contract shall control. Usage-based billing fees that have been invoiced and paid are non-refundable.

5.4 Payment Failure

If a payment method fails for a standard subscription, your account will be deactivated immediately upon the expiration of your current paid cycle. You will have a grace period (as defined in Section 11 “Data Retention”) to remediate the payment issue before your data is scheduled for deletion. Payment failure protocols for Enterprise clients are defined in their respective contracts.

5.5 Taxes

You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities.

  1. Service Level Availability (SLA)

6.1 Standard Users

For subscription users, the Services are provided on an “AS IS” and “AS AVAILABLE” basis. We make best efforts to maintain service availability but do not guarantee uptime or issue credits or refunds for outages, except at our sole discretion on a case-by-case basis. Media Rendering Failures: If a specific Ticket request fails to render media due to a system error on our end, the credit consumption associated with that specific Ticket will be refunded as a credit deduction to your monthly usage balance.

6.2 Enterprise Users

Service Level Agreements (SLAs) for Enterprise customers, including uptime guarantees and remedies, are governed exclusively by their specific Master Services Agreement.

  1. Intellectual Property Rights

7.1 Company IP

NETponents LLC retains all rights, title, and interest in and to the Services, including the audio generation engine, underlying code, website design, logos, and trademarks.

7.2 User Content

You retain ownership of the logic structures you create within your Pipelines and any audio files (soundfonts, sound clips) you upload to the Services (“User Content”).

By uploading or creating User Content, you grant NETponents LLC a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and display such content strictly as necessary to provide the Services to you.

7.3 Ownership of Generated Audio & Attribution

Subject to your compliance with these Terms, you own the rights to the audio generated by your Pipelines and may use said audio for both personal and commercial purposes.

Attribution Requirement: If you utilize the Services or audio generated by the Services within a software application, game, or platform that you own or operate, you must publicly disclose that the audio was generated using RockyDJ. This disclosure must be visible to end-users (e.g., in the App Store description, the application’s “About” section, or credits).

7.4 User Warranties regarding Audio Files

If you upload soundfonts or sound clips, you represent and warrant that:

You own the copyright to said files or have obtained all necessary licenses and permissions;

You possess the rights to use these files for commercial purposes; and

Your use of the files within our Services does not infringe upon the rights of any third party.

We reserve the right to request proof of ownership or license for any uploaded content. Failure to provide such proof may result in the removal of content or account suspension.

  1. Prohibited Conduct and Content

You agree not to use the Services to:

Violate any applicable federal, state, local, or international law.

Infringe upon the intellectual property rights of others.

Upload or generate content that is illegal, defamatory, obscene, or promotes violence.

Reverse engineer or attempt to extract the source code of the Services.

Right to Remove: NETponents LLC reserves the right to remove any content or suspend any Pipeline that, in our sole discretion, is deemed illegal, violates these Terms, or does not align with the mission and values of NETponents LLC.

  1. DMCA / Copyright Policy

We respect the intellectual property rights of others. It is our policy to respond to any claim that Content posted on the Service infringes on the copyright or other intellectual property rights of any person or entity.

If you are a copyright owner, or authorized on behalf of one, and you believe that the copyrighted work has been copied in a way that constitutes copyright infringement, please submit your claim via email to:

  1. Third-Party Services and Data Collection

We utilize third-party service providers, including Stripe for payment processing and Google Analytics for site usage analysis. Your use of the Services constitutes consent to the collection and processing of your data by these third parties in accordance with our Privacy Policy, available on the RockyDJ website.

  1. Term, Termination, and Data Retention

11.1 Termination

You may terminate your subscription at any time. Upon termination or expiration of your subscription, your “Pipelines” will immediately become inactive.

11.2 Data Retention

If your subscription is cancelled or expires (including via payment failure), we will retain your account data (including uploaded files and soundfonts) for a grace period of seven (7) days.

During the Grace Period: You may reactivate your account to restore access to your data.

After 7 Days: If the account is not reactivated within seven (7) days, all User Content and account data will be permanently deleted from our systems.

  1. Indemnification

You agree to defend, indemnify, and hold harmless NETponents LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with:

Your access to or use of the Services;

Your User Content (including soundfonts and generated audio);

Your violation of these Terms; or

Your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right.

  1. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

  1. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NETPONENTS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

  1. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Michigan for the resolution of any disputes.

  1. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes via email or through a prominent notice on our website. Your continued use of the Services following such changes constitutes your acceptance of the new Terms.
